Objects of the issue

The Offer comprises an Offer for Sale (OFS) of up to 52,731,946 Equity Shares by the Selling Shareholders. The Promoter Selling Shareholders are undertaking a partial divestment to realise part of their investment and enhance liquidity. The listing is expected to improve ARCIL’s visibility, brand recognition and shareholder liquidity by providing a public market for its Equity Shares. ARCIL will not receive any proceeds from the Offer, with the entire proceeds going to the Selling Shareholders.

ARCIL operates across Corporate, SME & Other, and Retail Loans, with total AUM of ₹20,149.99 crore as of March 31, 2026. The portfolio comprised 68.75% Corporate, 23.55% Retail, and 7.70% SME & Other Loans.

The company is expanding its focus on retail stressed assets, with Retail AUM rising from ₹1,942.30 crore in March 2024 to ₹4,744.76 crore in March 2026. Retail borrowers also increased by 227.32% during this period.
